Installer agreement
Installer Terms & Conditions
By submitting an installer application, accepting a job, or carrying out work for LeisureShield, the Installer confirms that they have read, understood and accepted these Terms.
Working with LeisureShield
The terms below apply to every installer application, accepted job and installation.
- Independent Contractor
The Installer is an independent subcontractor and is responsible for their own tax, National Insurance, equipment, transport and business expenses. Nothing creates an employment, agency or partnership relationship.
- Qualifications & Competence
The Installer confirms they have the skills, training and experience required for the services they accept, and must only undertake work for which they are suitably qualified and approved by LeisureShield.
- Insurance
The Installer must maintain appropriate Public Liability and Professional/Products Liability insurance, plus any other insurance reasonably required, and provide valid evidence on request. LeisureShield may suspend work allocation where insurance expires or is inadequate.
- Job Acceptance
Only accept work that can be completed to the agreed standard and timescale. Once accepted, attend as agreed or notify LeisureShield immediately if attendance is not possible.
- Customer & Vehicle Care
Take reasonable care of the customer’s/dealer’s premises, vehicle and property, and immediately report any accident, damage, defect or other incident to LeisureShield.
- Pre-Work Inspection
Before starting, inspect the vehicle and record required before photographs, existing damage and relevant condition through LSM. Do not start where a material pre-existing problem could affect the installation unless authorised by LeisureShield.
- Installation Standards
All work must comply with LeisureShield’s approved methods, product specifications, manufacturer instructions and quality standards. Do not substitute products, change the agreed specification or undertake additional work without approval.
- Photographic & Digital Records
Upload all required before, during and after photographs, job information, materials used and quality-check records to LSM before requesting completion or sign-off.
- Quality Control
Every completed job is subject to LeisureShield’s quality-control process. Additional photographs, inspection, correction or rework may be required before approval.
- Defects, Damage & Rework
Where defective workmanship, avoidable damage or failure to follow LeisureShield procedures is established, cooperate reasonably with inspection and corrective work. Job approval and/or any applicable quality bonus may be withheld pending resolution, subject to law and the subcontract terms.
- Customer Complaints & Warranty Claims
Do not admit liability, promise compensation or agree warranty/rework terms with a customer without LeisureShield approval. Report every complaint, claim and warranty issue immediately through LSM.
- Payment
Payment follows the agreed job rate and is subject to satisfactory completion, required documentation and photographs, quality approval, and any legitimately agreed deductions or adjustments. Payment will not be withheld merely because a customer has not paid LeisureShield unless the contract expressly and lawfully provides for that arrangement.
- Quality Bonus
Where applicable, a separate quality/performance bonus may be paid at LeisureShield’s discretion following successful completion, quality approval and the applicable review period. It is not guaranteed unless confirmed in writing.
- Materials & Equipment
Use only approved materials and equipment, and notify LeisureShield immediately of shortages, defects or unsuitable materials.
- Subcontracting
Do not pass a LeisureShield job to another person or subcontractor without prior written approval.
- Confidentiality & Customer Information
Customer, dealer, pricing, supplier, business and operational information must remain confidential and must not be disclosed or used outside LeisureShield work.
- Direct Solicitation
During the relationship and for a reasonable period afterwards, do not deliberately circumvent LeisureShield by taking LeisureShield-referred customers or dealers directly for substantially similar work, subject to applicable law.
- Data Protection
Handle customer and vehicle information securely and only for authorised LeisureShield purposes, in accordance with applicable UK data-protection requirements.
- Health & Safety
Work safely, use appropriate PPE and equipment, and comply with applicable health and safety requirements.
- Vehicle Movement
Do not drive, move or test a customer’s vehicle except where reasonably necessary for authorised work, legally permitted and appropriately insured.
- Incidents
Report any accident, damage, theft, injury, customer dispute or other significant incident immediately, with photographs and a written account where required.
- Suspension & Removal
LeisureShield may suspend or remove an Installer from the network for serious or repeated quality failures, unsafe conduct, misconduct, falsified records, insurance/qualification issues, customer complaints, confidentiality breaches or other material breach.
- Termination
Either party may terminate the subcontracting relationship by giving reasonable notice, subject to completion or appropriate handover of accepted jobs and outstanding obligations.
- Intellectual Property
LeisureShield procedures, forms, checklists, training materials, branding, commissioned photographs and LSM information remain subject to LeisureShield ownership or applicable rights and must not be used commercially without permission.
- Acceptance
The Installer confirms their application information is accurate and agrees to these Terms, the Installer Standards, Quality Checklist, Privacy Policy and individual Job Instructions, as updated from time to time.
- Right to Work & Suitability
The Installer confirms they are legally entitled to work in the UK, are at least 18 years old, and will provide proof of identity and right to work on request.
- Force Majeure
Neither party is in breach where failure to perform is caused by circumstances beyond reasonable control, including illness, extreme weather, or vehicle/equipment breakdown, provided LeisureShield is notified as soon as reasonably practicable.
- LeisureShield’s Liability to the Installer
LeisureShield’s liability is limited to properly due and unpaid fees for completed, approved work, excluding indirect or consequential losses except where liability cannot lawfully be excluded.
- No Direct Dealings
Do not accept payment, gifts or instructions directly from a customer or dealer for a LeisureShield-introduced job, bypassing LeisureShield’s invoicing and quality process.
- Assignment
The Installer may not transfer or subcontract rights or obligations under these Terms without LeisureShield’s prior written consent, in addition to the job subcontracting restriction.
- Notices
Notices and communications under these Terms are valid when given via LSM or to the registered email address held on file.
- Entire Agreement & Variation
These Terms, together with the Installer Standards, Quality Checklist, Privacy Policy and individual Job Instructions, form the entire agreement and supersede prior discussions. Variations are valid only if made in writing or issued via LSM.
- Governing Law & Disputes
These Terms are governed by the law of England and Wales. Any dispute must first be raised in writing between the parties in good faith before further action is taken.
